Welcome to Humwork. Please read these Terms of Service (“Terms”) carefully before using our platform.

Orange AI Inc. (“Humwork,” “Company,” “we,” “us,” or “our”) operates a technology platform that connects AI agents, professionals, and businesses (“Clients”) with verified independent domain experts (“Experts”) through real-time consultations. These Terms govern your access to and use of our website at humwork.ai, our Client dashboard, our Expert mobile and web applications, our API, our Model Context Protocol (MCP) integrations, and any related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. The Services are not intended for use by individuals under the age of 16.

1.2 Account Registration

To use certain features of the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at founders@humwork.ai if you become aware of any unauthorized use of your account.

1.3 One Account Per Person

Each individual may maintain only one Client account and/or one Expert account. We reserve the right to suspend or terminate duplicate accounts.

1.4 API Keys

Clients may generate API keys to access the Services programmatically through our API or MCP integrations. You are solely responsible for safeguarding your API keys and are liable for all usage associated with them. API keys should be treated as confidential credentials and must not be shared with unauthorized parties. You may set an optional expiration on your API keys and may revoke or regenerate them at any time.

2. Description of Services

2.1 Platform Overview

Humwork is a technology marketplace that facilitates real-time consultations between Clients and independent Experts. Clients — including AI agents, professionals, and businesses — can request consultations with domain experts across fields such as software engineering, design, law, and other professional domains.

2.2 Marketplace Disclaimer

Humwork is a technology platform, not a professional services firm. We do not employ, recommend, endorse, or guarantee any Expert. Experts are independent professionals who use the platform to offer their services. Humwork is not a party to any agreement between Clients and Experts regarding the substance of a consultation, and is not responsible for the quality, accuracy, legality, or suitability of any advice or content provided by Experts.

2.3 AI Agent Interactions

The Services integrate with AI agents and development tools through our API and MCP protocol. You acknowledge that:

We use automated systems, including machine learning algorithms, to match Clients with Experts based on factors such as domain expertise, skill relevance, availability, rating, and response time. While we strive to provide high-quality matches, we do not guarantee the suitability of any match or the outcome of any consultation.

The Services, including all content provided by Experts and AI systems, are for informational purposes only. Nothing on the platform constitutes legal, financial, medical, tax, or other professional advice. You should consult a qualified professional for advice specific to your situation.

3. Credits and Payments

3.1 Credit System

The Services use a credit-based payment system. Credits are the unit of exchange on the platform and are required to initiate and maintain consultations with Experts.

3.2 Purchasing Credits

Credits may be purchased through the platform using a valid payment method processed by our third-party payment processor (Stripe). All purchases are subject to the following:

All credit purchases are final and non-refundable, except as required by applicable law. Pre-billed consultation increments are non-refundable regardless of whether the full time increment is utilized.

We may, at our sole discretion, issue credits or refunds in cases of verified platform errors, technical failures, or other extraordinary circumstances. To request consideration, contact us at founders@humwork.ai.

3.5 Price Changes

We reserve the right to modify credit pricing, consultation rates, minimum charges, and fee structures at any time. Changes to pricing will be communicated through the platform and will apply to future purchases. Previously purchased credits will be honored at the rate at which they were purchased.

3.6 Taxes

You are responsible for all applicable taxes associated with your use of the Services, except for taxes based on Humwork's net income. Prices displayed on the platform may not include applicable taxes, which will be calculated and displayed at checkout where required.

4. Expert Terms

4.1 Independent Contractor Relationship

Experts are independent contractors and are not employees, agents, joint venturers, or partners of Humwork. Nothing in these Terms or in any interaction with the platform creates an employment relationship, agency, or partnership between Humwork and any Expert. Experts:

As independent contractors, Experts are not entitled to any employee benefits from Humwork, including but not limited to health insurance, retirement benefits, paid time off, workers' compensation, or unemployment insurance.

4.2 Qualification and Approval

To be eligible to receive consultations, Experts must:

Humwork reserves the right to approve or deny any Expert application at its sole discretion. The qualification assessment evaluates existing expertise and professional competence — it is not a training program. Qualification assessments may include behavioral integrity monitoring as described in our Privacy Policy. Experts who do not pass the qualification assessment may request a re-assessment through our appeal process.

6. Intellectual Property

6.1 Humwork's Intellectual Property

The Services, including all software, algorithms, machine learning models, interfaces, designs, trademarks, logos, and other proprietary materials, are owned by or licensed to Humwork and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property except for the limited right to use the Services as described herein.

6.2 User Content License

You retain ownership of your User Content. By submitting User Content to the Services, you grant Humwork a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content for the following purposes:

6.3 Expert Content License

In addition to the User Content license above, Experts grant Humwork an irrevocable, perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, display, and commercially exploit all content provided through consultations and qualification processes (“Expert Content”), including consultation responses, knowledge contributions, interview responses, and assessment data, for:

By participating as an Expert on the platform, you acknowledge that your Expert Content may be used to train AI models and that such models may generate outputs similar to or derived from your contributions.

6.4 Consultation Data

Both Clients and Experts acknowledge that all data generated during consultations — including questions, responses, code snippets, error logs, messages, and all other communications (“Consultation Data”) — may be used by Humwork as described in Sections 6.2 and 6.3. Humwork retains the right to use Consultation Data for AI development, dataset creation, and the other purposes described in this Section and our Privacy Policy, even after account termination.

6.5 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services (“Feedback”), you assign to Humwork all rights in such Feedback and agree that we may use Feedback for any purpose without restriction or compensation to you.

6.6 De-identified and Aggregated Data

We may create de-identified, aggregated, or anonymized data from any information or content collected through the Services. Such data does not identify you individually and may be used by Humwork for any lawful purpose, including commercial applications, without restriction.

7. Copyright Infringement (DMCA)

We respect the intellectual property rights of others and expect our users to do the same.

If you believe that your content was removed in error, you may submit a counter-notification with the information required under the Digital Millennium Copyright Act (17 U.S.C. Section 512). We will process counter-notifications in accordance with applicable law.

7.4 Repeat Infringers

We reserve the right to terminate the accounts of users who are repeat infringers of intellectual property rights.

8. Disclaimers

8.1 “As Is” and “As Available”

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMWORK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Availability or Accuracy

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content on the Services, including Expert responses, AI-generated content, and matching results.

8.3 Third-Party Services

The Services integrate with third-party services for payment processing, authentication, real-time communication, AI processing, and other functions. We are not responsible for the availability, accuracy, or practices of these third-party services.

8.4 Expert Qualifications

While we conduct qualification assessments, we do not verify or guarantee the professional licenses, certifications, credentials, or qualifications of Experts beyond our platform assessment process. You should independently verify any Expert's qualifications before relying on their advice for critical decisions.

9. Limitation of Liability

9.1 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMWORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: YOUR USE OF OR INABILITY TO USE THE SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING ANY EXPERT OR CLIENT; ANY CONTENT OBTAINED FROM THE SERVICES; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; ANY AI-GENERATED CONTENT OR AUTOMATED DECISIONS MADE BY THE PLATFORM.

9.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMWORK'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO HUMWORK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

9.3 Basis of the Bargain

THE DISCLAIMERS AND LIMITATIONS IN SECTIONS 8 AND 9 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND HUMWORK. NOTHING IN THIS SECTION SHALL LIMIT HUMWORK'S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Humwork and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at founders@humwork.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, either party may proceed as described below.

11.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by any other arbitration institution mutually agreed upon by the parties. The arbitration shall take place in the county where you reside or, at your election, by telephone, video conference, or based on written submissions.

11.3 Class Action and Jury Trial Waiver

YOU AND HUMWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Humwork agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

YOU ACKNOWLEDGE AND AGREE THAT YOU AND HUMWORK ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.

11.4 Exceptions

Notwithstanding the above, either party may: (a) bring an individual action in small claims court if the claim qualifies; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11.5 Delegation

The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.

11.6 Mass Arbitration

If twenty-five (25) or more similar claims are filed against Humwork within a ninety (90) day period, whether by the same counsel or coordinated by the same organization, the following procedures apply:

11.7 Arbitration Fees

Humwork will pay all arbitration filing fees, administration, and arbitrator costs beyond the initial filing fee that you would have paid to file a claim in court. If the arbitrator determines that your claim was frivolous or brought for an improper purpose, fee allocation shall be governed by the applicable arbitration rules.

11.8 Opt-Out

You may opt out of this arbitration provision by sending written notice to founders@humwork.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, you and Humwork agree to submit to the exclusive jurisdiction of the courts specified in Section 14.3.

This arbitration agreement shall survive termination of your account and these Terms.

13.1 Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on the Services and updating the “Last Updated” date. For material changes, we will provide notice through the platform, by email, or by other reasonable means at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and close your account.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

14. General Provisions

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

14.2 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Humwork regarding the Services and supersede all prior agreements, understandings, and communications.

14.3 Jurisdiction

For any disputes not subject to arbitration, you and Humwork consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.

14.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.5 Waiver

The failure of Humwork to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Humwork.

14.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms without Humwork's prior written consent. Humwork may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

14.7 Force Majeure

Humwork shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, labor disputes, or third-party service outages.

14.8 Notices

All legal notices to Humwork should be sent to founders@humwork.ai. We may provide notices to you through the email address associated with your account, through in-app notifications, or by posting on the Services.

14.9 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any third party other than the parties hereto.

The section headings in these Terms are for convenience only and have no legal or contractual effect.

You acknowledge and consent that consultations, qualification assessments, and other platform interactions may be recorded, transcribed, and stored by Humwork. For voice-based interactions, audio may be processed in real time by third-party speech-to-text services. Transcripts and interaction data may be used for quality assurance, service improvement, and the other purposes described in these Terms and our Privacy Policy.
