Terms of Service

Welcome to Humwork. Please read these Terms of Service (“Terms”) carefully before using our platform.
Orange AI Inc. (“Humwork,” “Company,” “we,” “us,” or “our”) operates a technology platform that connects AI agents, professionals, and businesses (“Clients”) with verified independent domain experts (“Experts”) through real-time consultations. These Terms govern your access to and use of our website at humwork.ai, our Client dashboard, our Expert mobile and web applications, our API, our Model Context Protocol (MCP) integrations, and any related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, do not use the Services.
1. Eligibility and Accounts
1.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. The Services are not intended for use by individuals under the age of 16.
1.2 Account Registration
To use certain features of the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at founders@humwork.ai if you become aware of any unauthorized use of your account.
1.3 One Account Per Person
Each individual may maintain only one Client account and/or one Expert account. We reserve the right to suspend or terminate duplicate accounts.
1.4 API Keys
Clients may generate API keys to access the Services programmatically through our API or MCP integrations. You are solely responsible for safeguarding your API keys and are liable for all usage associated with them. API keys should be treated as confidential credentials and must not be shared with unauthorized parties. You may set an optional expiration on your API keys and may revoke or regenerate them at any time.
2. Description of Services
2.1 Platform Overview
Humwork is a technology marketplace that facilitates real-time consultations between Clients and independent Experts. Clients — including AI agents, professionals, and businesses — can request consultations with domain experts across fields such as software engineering, design, law, and other professional domains.
2.2 Marketplace Disclaimer
Humwork is a technology platform, not a professional services firm. We do not employ, recommend, endorse, or guarantee any Expert. Experts are independent professionals who use the platform to offer their services. Humwork is not a party to any agreement between Clients and Experts regarding the substance of a consultation, and is not responsible for the quality, accuracy, legality, or suitability of any advice or content provided by Experts.
2.3 AI Agent Interactions
The Services integrate with AI agents and development tools through our API and MCP protocol. You acknowledge that:
- AI agents may initiate consultations and communicate with Experts on behalf of Clients.
- AI-generated content (including questions, summaries, and automated messages) may contain errors, inaccuracies, or incomplete information.
- AI-generated outputs are not a substitute for independent professional judgment.
- You are solely responsible for evaluating and acting on any information obtained through AI interactions on the platform.
2.4 Expert Matching
We use automated systems, including machine learning algorithms, to match Clients with Experts based on factors such as domain expertise, skill relevance, availability, rating, and response time. While we strive to provide high-quality matches, we do not guarantee the suitability of any match or the outcome of any consultation.
2.5 No Professional Advice
The Services, including all content provided by Experts and AI systems, are for informational purposes only. Nothing on the platform constitutes legal, financial, medical, tax, or other professional advice. You should consult a qualified professional for advice specific to your situation.
3. Credits and Payments
3.1 Credit System
The Services use a credit-based payment system. Credits are the unit of exchange on the platform and are required to initiate and maintain consultations with Experts.
- Credit Value. One credit has an approximate value of $1.00 USD. Actual pricing may vary by purchase tier.
- No Cash Value. Credits have no cash value outside the platform, are not redeemable for cash (except for Expert payouts as described in Section 4), and are non-transferable between accounts.
- No Expiration. Purchased credits do not expire.
3.2 Purchasing Credits
Credits may be purchased through the platform using a valid payment method processed by our third-party payment processor (Stripe). All purchases are subject to the following:
- Purchase Limits. Minimum and maximum purchase amounts apply and are displayed at the time of purchase.
- Available Tiers. We offer multiple credit packages at varying price points. Current pricing and tier details are displayed on the purchase page and may be updated from time to time.
- Payment Processing. All payments are processed by Stripe. By purchasing credits, you agree to Stripe's terms of service. We do not store your full payment card details.
- Confirmation. Credits are delivered to your account upon successful payment confirmation. You will receive an email confirmation of your purchase.
3.3 Consultation Billing
Consultations are billed on a time-based model:
- Pre-Billing. Consultations are billed in advance in fixed time increments. Credits are deducted from your account at the start of each billing increment.
- Expert Rates. Expert consultation rates are determined through a combination of platform assessment and Expert input. The applicable rate is disclosed before a consultation begins.
- Minimum Charge. Each consultation is subject to a minimum credit charge regardless of duration.
- No Partial Refunds. Pre-billed increments are not refunded if a consultation ends before the increment expires. You are responsible for managing your session duration.
- Insufficient Credits. If your credit balance is insufficient to cover the next billing increment, the consultation may be terminated. You may purchase additional credits to continue.
3.4 Refund Policy
All credit purchases are final and non-refundable, except as required by applicable law. Pre-billed consultation increments are non-refundable regardless of whether the full time increment is utilized.
We may, at our sole discretion, issue credits or refunds in cases of verified platform errors, technical failures, or other extraordinary circumstances. To request consideration, contact us at founders@humwork.ai.
3.5 Price Changes
We reserve the right to modify credit pricing, consultation rates, minimum charges, and fee structures at any time. Changes to pricing will be communicated through the platform and will apply to future purchases. Previously purchased credits will be honored at the rate at which they were purchased.
3.6 Taxes
You are responsible for all applicable taxes associated with your use of the Services, except for taxes based on Humwork's net income. Prices displayed on the platform may not include applicable taxes, which will be calculated and displayed at checkout where required.
4. Expert Terms
4.1 Independent Contractor Relationship
Experts are independent contractors and are not employees, agents, joint venturers, or partners of Humwork. Nothing in these Terms or in any interaction with the platform creates an employment relationship, agency, or partnership between Humwork and any Expert. Experts:
- Determine their own hours, availability, and work schedule.
- Choose which consultation requests to accept or decline without penalty.
- Determine how to provide their expertise within the consultation (Humwork does not direct the manner or method of an Expert's work).
- Are free to provide services on competing or other platforms simultaneously, with no exclusivity requirement.
- Use their own equipment, workspace, and professional tools.
- Are solely responsible for their own tax obligations, including self-employment taxes. Humwork will issue applicable tax forms (e.g., IRS Form 1099) as required by law.
As independent contractors, Experts are not entitled to any employee benefits from Humwork, including but not limited to health insurance, retirement benefits, paid time off, workers' compensation, or unemployment insurance.
4.2 Qualification and Approval
To be eligible to receive consultations, Experts must:
- Complete our qualification assessment process, which includes an AI-assisted interview evaluating domain expertise, diagnostic reasoning, and communication skills.
- Achieve a passing score on the qualification assessment.
- Receive administrative approval from Humwork.
- Complete payment account setup through our payment processor for payouts.
Humwork reserves the right to approve or deny any Expert application at its sole discretion. The qualification assessment evaluates existing expertise and professional competence — it is not a training program. Qualification assessments may include behavioral integrity monitoring as described in our Privacy Policy. Experts who do not pass the qualification assessment may request a re-assessment through our appeal process.
4.3 Expert Earnings and Payouts
- Earnings. Experts earn credits for completed consultations. The platform retains a service fee from each consultation; the remainder is credited to the Expert's account. Current fee rates are communicated to Experts during onboarding.
- Payout Requests. Experts may request payouts once their earned credit balance meets the minimum payout threshold displayed in the Expert dashboard.
- Payout Processing. Payouts are processed through our payment processor's connected account system (Stripe Connect). Experts must complete account setup and provide valid banking information to their connected account to receive payouts.
- Payout Timing. Approved payouts are typically processed within 2-7 business days, though timing may vary based on the payment processor's schedule and your financial institution.
- Payout Approval. Payout requests are subject to review and approval by Humwork. We reserve the right to delay or deny payout requests if we reasonably suspect fraud, policy violations, or other irregularities.
- Failed Payouts. If a payout transfer fails, the corresponding credits will be refunded to your Expert account and you will be notified of the failure reason.
4.4 Expert Conduct
Experts agree to:
- Provide honest, accurate, and professional responses during consultations.
- Not misrepresent their qualifications, expertise, or credentials.
- Respond to accepted consultation requests in a timely manner.
- Comply with all applicable laws and professional standards in their jurisdiction.
- Not solicit Clients for engagements outside the platform.
- Not share Client information obtained during consultations with unauthorized third parties.
4.5 Expert Ratings
Expert quality ratings are calculated based on consultation feedback, qualification assessment scores, and platform performance metrics. Ratings may be adjusted over time using statistical methods to reflect ongoing performance. Ratings are used by our matching algorithms and may be visible to Clients in aggregate form.
5. User Conduct and Acceptable Use
5.1 General Conduct
All users (Clients and Experts) agree not to:
- Use the Services for any unlawful, fraudulent, or deceptive purpose.
- Harass, abuse, threaten, or intimidate other users.
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Interfere with, disrupt, or create an undue burden on the Services or the networks or systems connected to the Services.
- Attempt to gain unauthorized access to the Services, other user accounts, or any computer systems or networks connected to the Services.
- Use any automated means (other than authorized API and MCP integrations) to access the Services, including bots, scrapers, or crawlers.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
- Circumvent, disable, or otherwise interfere with security-related features of the Services.
- Upload, transmit, or distribute any malicious code, viruses, or other harmful content.
- Use the Services to distribute spam, unsolicited messages, or promotional content.
- Manipulate the rating or feedback system.
5.2 Content Standards
You are solely responsible for all content you submit, post, or transmit through the Services (“User Content”). You agree that your User Content will not:
- Infringe or violate any third party's intellectual property, privacy, or other rights.
- Contain defamatory, libelous, or knowingly false material.
- Contain illegal content or promote illegal activities.
- Contain personally identifiable information of third parties without their consent.
5.3 Enforcement
We reserve the right, but have no obligation, to monitor, review, or moderate User Content or user activity. We may, at our sole discretion and without prior notice, remove content, suspend access, or terminate accounts that we determine violate these Terms or that we find objectionable for any reason.
6. Intellectual Property
6.1 Humwork's Intellectual Property
The Services, including all software, algorithms, machine learning models, interfaces, designs, trademarks, logos, and other proprietary materials, are owned by or licensed to Humwork and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property except for the limited right to use the Services as described herein.
6.2 User Content License
You retain ownership of your User Content. By submitting User Content to the Services, you grant Humwork a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content for the following purposes:
- Operating, providing, maintaining, and improving the Services.
- Facilitating consultations and delivering content to other users as part of normal platform operation.
- Developing, training, and improving machine learning models and artificial intelligence systems, both for use within the Services and for broader applications.
- Creating, licensing, and distributing datasets — including synthetic datasets — derived from platform interactions for AI research, model training, and development purposes.
- Any other purpose described in our Privacy Policy.
This license survives termination of your account. For more information about how we use your content, see Sections 2 and 4 of our Privacy Policy.
6.3 Expert Content License
In addition to the User Content license above, Experts grant Humwork an irrevocable, perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, display, and commercially exploit all content provided through consultations and qualification processes (“Expert Content”), including consultation responses, knowledge contributions, interview responses, and assessment data, for:
- All purposes described in Section 6.2.
- Training, developing, and improving AI models and systems.
- Creating and commercially licensing datasets for AI research and development.
- Analyzing patterns in expert knowledge to develop new products and services.
By participating as an Expert on the platform, you acknowledge that your Expert Content may be used to train AI models and that such models may generate outputs similar to or derived from your contributions.
6.4 Consultation Data
Both Clients and Experts acknowledge that all data generated during consultations — including questions, responses, code snippets, error logs, messages, and all other communications (“Consultation Data”) — may be used by Humwork as described in Sections 6.2 and 6.3. Humwork retains the right to use Consultation Data for AI development, dataset creation, and the other purposes described in this Section and our Privacy Policy, even after account termination.
6.5 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services (“Feedback”), you assign to Humwork all rights in such Feedback and agree that we may use Feedback for any purpose without restriction or compensation to you.
6.6 De-identified and Aggregated Data
We may create de-identified, aggregated, or anonymized data from any information or content collected through the Services. Such data does not identify you individually and may be used by Humwork for any lawful purpose, including commercial applications, without restriction.
7. Copyright Infringement (DMCA)
We respect the intellectual property rights of others and expect our users to do the same.
7.1 Reporting Infringement
If you believe that content on the Services infringes your copyright, please send a notice to our designated agent with the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing, with information reasonably sufficient to locate the material.
- Your contact information (name, address, telephone number, and email).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.
7.2 Designated Agent

7.3 Counter-Notification
If you believe that your content was removed in error, you may submit a counter-notification with the information required under the Digital Millennium Copyright Act (17 U.S.C. Section 512). We will process counter-notifications in accordance with applicable law.
7.4 Repeat Infringers
We reserve the right to terminate the accounts of users who are repeat infringers of intellectual property rights.
8. Disclaimers
8.1 “As Is” and “As Available”
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMWORK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Availability or Accuracy
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content on the Services, including Expert responses, AI-generated content, and matching results.
8.3 Third-Party Services
The Services integrate with third-party services for payment processing, authentication, real-time communication, AI processing, and other functions. We are not responsible for the availability, accuracy, or practices of these third-party services.
8.4 Expert Qualifications
While we conduct qualification assessments, we do not verify or guarantee the professional licenses, certifications, credentials, or qualifications of Experts beyond our platform assessment process. You should independently verify any Expert's qualifications before relying on their advice for critical decisions.
9. Limitation of Liability
9.1 Exclusion of Certain Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMWORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: YOUR USE OF OR INABILITY TO USE THE SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING ANY EXPERT OR CLIENT; ANY CONTENT OBTAINED FROM THE SERVICES; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; ANY AI-GENERATED CONTENT OR AUTOMATED DECISIONS MADE BY THE PLATFORM.
9.2 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMWORK'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO HUMWORK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
9.3 Basis of the Bargain
THE DISCLAIMERS AND LIMITATIONS IN SECTIONS 8 AND 9 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND HUMWORK. NOTHING IN THIS SECTION SHALL LIMIT HUMWORK'S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Humwork and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services or violation of these Terms.
- Your User Content or Expert Content.
- Your violation of any third party's rights, including intellectual property or privacy rights.
- Any dispute between you and another user of the Services.
- Your negligence or willful misconduct.
11. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
11.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at founders@humwork.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, either party may proceed as described below.
11.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by any other arbitration institution mutually agreed upon by the parties. The arbitration shall take place in the county where you reside or, at your election, by telephone, video conference, or based on written submissions.
11.3 Class Action and Jury Trial Waiver
YOU AND HUMWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Humwork agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
YOU ACKNOWLEDGE AND AGREE THAT YOU AND HUMWORK ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.
11.4 Exceptions
Notwithstanding the above, either party may: (a) bring an individual action in small claims court if the claim qualifies; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
11.5 Delegation
The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.
11.6 Mass Arbitration
If twenty-five (25) or more similar claims are filed against Humwork within a ninety (90) day period, whether by the same counsel or coordinated by the same organization, the following procedures apply:
- Bellwether Selection. Up to fifteen (15) claims will be randomly selected as bellwether cases and arbitrated individually. All other claims shall be stayed pending resolution of the bellwether cases.
- Mediation. Following resolution of the bellwether cases, the parties shall engage in a single mediation to attempt to resolve the remaining claims, informed by the bellwether outcomes.
- Batched Filing. If mediation does not resolve all remaining claims, additional claims shall be filed and arbitrated in batches of no more than fifty (50) at a time.
- Fees. Humwork will pay all arbitration fees for claims subject to this mass arbitration process.
These procedures are intended to promote efficient resolution while preserving each party's right to individual arbitration.
11.7 Arbitration Fees
Humwork will pay all arbitration filing fees, administration, and arbitrator costs beyond the initial filing fee that you would have paid to file a claim in court. If the arbitrator determines that your claim was frivolous or brought for an improper purpose, fee allocation shall be governed by the applicable arbitration rules.
11.8 Opt-Out
You may opt out of this arbitration provision by sending written notice to founders@humwork.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, you and Humwork agree to submit to the exclusive jurisdiction of the courts specified in Section 14.3.
11.9 Survival
This arbitration agreement shall survive termination of your account and these Terms.
12. Account Suspension and Termination
12.1 Termination by You
You may close your account at any time by contacting us at founders@humwork.ai. Upon account closure:
- Client Accounts. Any remaining credit balance will not be refunded except as required by applicable law. You may use remaining credits before closing your account.
- Expert Accounts. You may request a payout of earned credits meeting the minimum payout threshold before closing your account. Earned credits below the minimum payout threshold will be forfeited unless otherwise required by applicable law.
- Data. Your account information will be handled in accordance with our Privacy Policy, including applicable data retention provisions.
12.2 Termination or Suspension by Humwork
We may suspend or terminate your account and access to the Services, with or without notice, if we determine in our sole discretion that:
- You have violated these Terms or any applicable law.
- Your conduct may expose Humwork, other users, or third parties to legal liability or harm.
- Your account has been involved in fraudulent, abusive, or otherwise inappropriate activity.
- Continued provision of the Services to you is not commercially viable.
- Required by law or a government request.
12.3 Effect of Termination
Upon termination:
- Your right to access and use the Services will cease immediately.
- Client Accounts. Any remaining purchased credit balance may be forfeited, except as required by applicable law or at Humwork's discretion.
- Expert Accounts. Credits earned by an Expert for completed consultations prior to termination will be paid out to the extent they meet the minimum payout threshold, unless termination is for fraud, illegal activity, or material breach of these Terms.
- Provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), and 14 (Governing Law).
- Humwork's licenses to your User Content, Expert Content, and Consultation Data as described in Section 6 shall survive termination.
13. Modifications to Terms and Services
13.1 Changes to These Terms
We may modify these Terms at any time by posting the revised Terms on the Services and updating the “Last Updated” date. For material changes, we will provide notice through the platform, by email, or by other reasonable means at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and close your account.
13.2 Changes to the Services
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
14. General Provisions
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
14.2 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Humwork regarding the Services and supersede all prior agreements, understandings, and communications.
14.3 Jurisdiction
For any disputes not subject to arbitration, you and Humwork consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.
14.4 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.5 Waiver
The failure of Humwork to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Humwork.
14.6 Assignment
You may not assign or transfer these Terms or your rights under these Terms without Humwork's prior written consent. Humwork may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
14.7 Force Majeure
Humwork shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, labor disputes, or third-party service outages.
14.8 Notices
All legal notices to Humwork should be sent to founders@humwork.ai. We may provide notices to you through the email address associated with your account, through in-app notifications, or by posting on the Services.
14.9 No Third-Party Beneficiaries
These Terms do not confer any rights or remedies upon any third party other than the parties hereto.
14.10 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
15. Platform-Specific Terms
15.1 Mobile Applications
If you access the Services through a mobile application downloaded from the Apple App Store or Google Play Store, the following additional terms apply:
- These Terms are between you and Humwork, not with Apple Inc. (“Apple”) or Google LLC (“Google”).
- Apple and Google have no obligation to provide maintenance, support, or warranty for the application.
- In the event of any failure of the application to conform to any applicable warranty, your sole remedy is a refund of the purchase price of the application (if any). Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms solely with respect to this Section and have the right to enforce this Section.
- You represent that you are not located in a country subject to a U.S. Government embargo or that has been designated as a “terrorist supporting” country, and you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with all applicable third-party terms of agreement when using the application (e.g., your wireless data service agreement).
15.2 Apple-Specific Terms
If you download or use the application through the Apple App Store:
- You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application.
- In the event of any third-party claim that the application or your use of the application infringes that third party's intellectual property rights, Humwork, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim to the extent required by these Terms.
- Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the application, and Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
15.3 Google Play-Specific Terms
If you download or use the application through the Google Play Store:
- You acknowledge that Google LLC (“Google”) has no obligation to furnish any maintenance and support services with respect to the application.
- In the event of any third-party claim that the application or your use of the application infringes that third party's intellectual property rights, Humwork, not Google, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim to the extent required by these Terms.
- Google and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the application, and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
15.4 Recording and Monitoring
You acknowledge and consent that consultations, qualification assessments, and other platform interactions may be recorded, transcribed, and stored by Humwork. For voice-based interactions, audio may be processed in real time by third-party speech-to-text services. Transcripts and interaction data may be used for quality assurance, service improvement, and the other purposes described in these Terms and our Privacy Policy.
